Reseller Policy

HYDROPEPTIDE LLC

1. Acceptance Process. Upon acceptance of the HydroPeptide Application, this Reseller Policy, together with our Terms of Use (including, but limited to, HydroPeptide’s Arbitration, Governing Law and Intellectual Property Rights clauses) and Privacy Policy, shall constitute the entire agreement (the “Agreement”) between HydroPeptide LLC and the individual or entity identified on the Application (“Reseller”). The Agreement describes HydroPeptide’s and Reseller’s rights and duties and contains important information about the promotion and sale of HydroPeptide products.

2. Independent Contractor. The relationship of the parties hereto is that of independent contractors. The parties hereto are not deemed to be affiliates, agents, employees, partners or joint venturers of the others for any purpose as a result of this Agreement or the transactions contemplated thereby. Reseller shall not be treated as an employee of HydroPeptide for any purpose, including without limitation, for federal, state or local tax purposes.

3. Internet Sales Prohibited. Reseller shall be prohibited from selling HydroPeptide products on the Internet unless they apply for and obtain prior written consent from HydroPeptide authorizing them to sell on the Internet and regulating the manner in which they sell online.

4. Geographic Sales Boundary. Resellers may only sell and advertise for sale HydroPeptide products within the United States of America. HydroPeptide hereby expressly prohibits Reseller from soliciting or consummating sales outside of the United States of America.

5. Confidential Information. Reseller shall not use or disclose any Confidential Information of HydroPeptide except as expressly permitted by this Agreement.

6. Sales Practices. Reseller agrees to: (a) conduct its activities with a high standard of professionalism and in a manner that reflects favorably at all times on HydroPeptide and HydroPeptide’s products; (b) avoid deceptive, misleading, or unethical practices; (c) make no representations, warranties, or other statements with respect to HydroPeptide’s products or any business opportunity that are different from or in addition to those in the Agreement and HydroPeptide marketing materials; (d) not bind HydroPeptide to any agreement, or pursue, waive, or compromise any of HydroPeptide’s rights (or purport to do any of the foregoing); (e) reverse engineer any HydroPeptide product or attempt to reformulate, manufacture, or produce the HydroPeptide products or any product substantially similar to HydroPeptide’s products; (f) periodically review this Agreement, as amended and from time to time and posted on the HydroPeptide website; and (g) otherwise comply at all times with, and accept exclusive liability for non-compliance with, all applicable laws, regulations, rules, and this Agreement.

7. Quality Controls. Reseller shall comply with all quality control standards, including, but not limited to, advertising, storage and shipping requirements, as announced from time to time by HydroPeptide.

8. Product Ordering and Sales. HydroPeptide may accept or decline any order for its products, and may cancel or delay shipment of HydroPeptide’s products for any reason, including without limitation, if Reseller fails to make any required payment or otherwise fails to comply with this Agreement. Title and risk of loss to the products will pass to Reseller on delivery of the products to Reseller by the carrier of HydroPeptide’s choice. HydroPeptide has the right to communicate and do business with any and all customers acquired through Reseller’s efforts without restriction of any kind.

9. Sales and Marketing Restrictions; No Third-Party Platforms. Reseller may not market or sell HydroPeptide products in retail outlets or other locations open or available to the public. Reseller shall not market or sell HydroPeptide products on websites or domains that are not owned or operated by Reseller, including Amazon, Walmart, Jet, eBay, Rakuten, Alibaba, Alibaba Express, Groupon, LivingSocial, or other deal sites or third-party platforms or marketplaces.

10. Product Packaging. Reseller shall sell HydroPeptide products in their original packaging. Relabeling, repackaging (including the separation of bundled products or the bundling of separate products), and other alterations are not permitted. Tampering with, defacing, or otherwise altering any serial number, UPC code, batch or lot code, or other identifying information on products or their packaging is prohibited. Reseller shall not remove, translate or modify the contents of any label or literature on or accompanying the products.

11. Sales Taxes. Reseller is solely responsible for collecting and remitting applicable sales tax to the appropriate tax agency based on the purchase price of the HydroPeptide products sold to Reseller’s customers.

12. Refused Shipments. Refused shipments are subject to a 20% restocking fee, as well as paying any new shipping costs for resending the order. Reseller understands that Reseller will be responsible for all shipping costs incurred by HydroPeptide.

13. Miscellaneous. If any provision contained herein is found by an arbitrator (or court) to be invalid, illegal, or unenforceable in any respect, such provision shall be ineffective, but shall not in any way invalidate or otherwise affect any other provision. Reseller represents and warrants that Reseller has read, understands, and agrees to abide by the Agreement, that the information provided on the Application is accurate and complete, and that Reseller may perform its obligations without breach of any other agreement. The Agreement contains the entire agreement between HydroPeptide and Reseller and supersedes and replaces any and all prior representations, warranties, negotiations, and agreements with respect to the subject matter hereof. HydroPeptide may at any time revise this Agreement by posting the amended Agreement on the HydroPeptide website and any changes or additions will be effective immediately upon posting. Resellers must check the HydroPeptide website frequently for revisions to this Agreement.

In the event of a conflict between the terms of this Agreement and the terms of Our Terms of Use, the terms of this Agreement shall govern. Any questions regarding this Agreement must be emailed to: contact@hydropeptide.com.
